User Agreement

Scope and Applicability
This User Agreement ("Agreement") applies to all registered users of the ExuraBio Platform, including both Buyers and Sellers. This Agreement supplements the Platform Terms of Service and any role-specific or incorporated policies. In the event of a conflict, the Platform Terms of Service shall control.
Account Registration
To access the full features of the Platform, you must create a verified account. By creating an account, you represent and warrant that:
• All registration information you provide is accurate, current, and complete
• You are at least 18 years of age and have the legal capacity to enter binding contracts
• If registering on behalf of an institution or company, you are duly authorized to bind that entity
• You will maintain the security of your account credentials and promptly notify ExuraBio of any unauthorized or suspected unauthorized access
You are solely responsible for all activity that occurs under your account. ExuraBio reserves the right to suspend or terminate accounts that violate this Agreement or applicable law.
Buyer Obligations
As a Buyer on the Platform, you agree to:
• Use the Platform solely for the procurement and use of surplus laboratory and bioprocessing materials, instruments, and equipment for lawful professional, research, manufacturing, or institutional purposes
• Conduct independent due diligence on all products, including reviewing original certificates of analysis, lot documentation, storage condition attestations, expiration dates, and specification sheets before purchase and use
• Take full responsibility for verifying that listed materials are fit for your intended purpose and meet your organization's quality, regulatory, and safety requirements
• Comply with all applicable laws and regulations governing the receipt, storage, handling, use, and disposal of purchased products
• Arrange and fund payment directly to the Seller in accordance with the terms agreed between you and the Seller. ExuraBio is not a party to payment arrangements
• Communicate professionally and in good faith with Sellers and ExuraBio support staff
• Not submitting false dispute claims or otherwise attempting to manipulate the Platform's ratings or dispute systems
• Ensure that your organization holds all necessary permits, registrations, and authorizations required to receive, possess, use, and, where applicable, transfer any regulated materials
Seller Obligations
As a Seller on the Platform, you agree to:
• Maintain compliance with the Seller Verification and Listing Standards Policy at all times;
• Only list products that you have the legal right to transfer and that fall within the permitted Product Scope;
• Accurately represent the identity, condition, quantity, lot information, storage history, and remaining shelf life of all listed materials and equipment;
• Provide original certificates of analysis (COAs) and attest truthfully to storage conditions for all biological materials, media, buffers, reagents, and process chemicals
• Fulfill confirmed transactions in accordance with the agreed transaction terms and ship materials as described in the listing
• Maintain all required federal, state, and local licenses, permits, and regulatory authorizations for the duration of your Seller status
• Promptly communicate with Buyers regarding order status, delays, or issues;
• Comply with all applicable export control, hazardous materials shipping, and regulated material transfer requirements
• Remit all applicable taxes on sale proceeds and fulfill all required customs and documentation obligations
• Pay ExuraBio's platform facilitation fee as invoiced upon deal confirmation
• Not circumvent the Platform by conducting, soliciting, or attempting to conduct off-platform transactions with Buyers introduced through the Platform.
Prohibited Conduct
All Users, regardless of role, are prohibited from:
• Using the Platform for any unlawful, fraudulent, or deceptive purpose
• Attempting to gain unauthorized access to any account, system, or data
• Uploading or transmitting viruses, malware, or other harmful code
• Harassing, threatening, or abusing other Users or ExuraBio personnel
• Misrepresenting affiliation with any institution, company, or regulatory body
• Creating multiple accounts to circumvent suspension or restrictions
• Using automated bots, scrapers, or data harvesting tools without express written consent
• Violating, or causing ExuraBio or any other User to violate, any applicable export control, sanctions, or trade compliance laws
Transactions and Platform Fees
All transactions on the Platform are subject to the following terms:
• Binding purchase agreements are formed directly between Buyers and Sellers upon both parties confirming deal terms through the Platform's deal confirmation workflow
• ExuraBio does not process, hold, or transfer payments between Buyers and Sellers and is not a party to payment arrangements between them. All payment terms, methods, timing, and arrangements are negotiated and executed exclusively between the transacting parties
• ExuraBio is not responsible for non-payment, late payment, payment disputes, payment fraud, chargebacks, credits, refunds, or collection matters between Buyers and Sellers
• ExuraBio invoices a platform facilitation fee to the Seller upon deal confirmation. The applicable fee tier is determined by the confirmed deal value as published in the current Fee Schedule. Sellers are responsible for remitting this fee to ExuraBio within the timeframe stated in the invoice.
• Failure to remit platform fees may result in suspension of Seller access. ExuraBio reserves all legal remedies to recover unpaid fees.
• Return, refund, and dispute resolution matters between Buyers and Sellers are governed by the terms agreed between those parties and, where applicable, by ExuraBio’s dispute resolution procedures described in Section 3.8.
Intellectual Property
All content on the Platform, including but not limited to software, trademarks, logos, text, and design elements, is the property of ExuraBio or its licensors. Users are granted a limited, non-exclusive, revocable license to access and use the Platform solely in accordance with this Agreement. Users must not copy, modify, distribute, or create derivative works of Platform content without prior written consent.
Sellers retain ownership of their product listings and associated intellectual property. By listing on the Platform, Sellers grant ExuraBio a worldwide, royalty-free license to display, reproduce, and distribute listing content submitted through the Platform for the purpose of operating and marketing the Platform.
ExuraBio may compile, analyze, and commercialize aggregated, anonymized transaction data, including pricing trends, category volumes, market demand patterns, and surplus material recovery rates, as a proprietary market intelligence product. No such data is intended to identify any individual User, organization, or specific transaction. By using the Platform, all Users acknowledge and agree to this use of anonymized aggregate data. This use will be handled in a manner designed to avoid constituting personal information under applicable privacy law.
Dispute Resolution Between Users
ExuraBio may, in its discretion, provide the following dispute resolution process for transaction-related disputes:
• Step 1: Direct communication between Buyer and Seller, facilitated by the Platform messaging system, with a 5-business-day resolution window
• Step 2: Escalation to ExuraBio’s dispute resolution team, which may review submissions from both parties and, in its discretion, issue a non-binding recommendation within approximately 10 business days
• Step 3: Binding arbitration under the AAA Commercial Arbitration Rules if the dispute remains unresolved
ExuraBio's role in dispute resolution is that of a neutral facilitator. Any recommendation issued by ExuraBio is non-binding, does not constitute a legal adjudication, and does not waive either party’s right to pursue available legal remedies.
Termination of Access
